Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Jexentra SARL ("Jexentra", "we", "our", or "us") regarding your use of our customer lifetime value optimisation services and website.
By accessing our website, engaging our services, or entering into a service agreement with Jexentra, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services or website.
These Terms apply to all users of our services, including but not limited to clients, website visitors, and business partners. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

Services Description
Jexentra provides customer lifetime value optimisation services for retail and e-commerce businesses, including but not limited to:
- Customer data analysis and segmentation
- Customer retention strategy development and implementation
- Personalisation and targeting solutions
- Growth optimisation and conversion rate improvement
- Analytics and performance monitoring
- Consultation and strategic advisory services
Specific service details, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work executed between Jexentra and the Client.
Client Obligations
As a client of Jexentra services, you agree to:
- Provide accurate, complete, and timely information necessary for service delivery
- Grant appropriate access to systems, data, and personnel as required for service provision
- Comply with all applicable laws, regulations, and industry standards
- Maintain the confidentiality of any proprietary methodologies or insights provided by Jexentra
- Pay all fees and charges in accordance with agreed payment terms
- Cooperate with Jexentra personnel in good faith to achieve project objectives
- Ensure you have proper rights and consents for any customer data shared with Jexentra
Failure to meet these obligations may impact service delivery and may result in additional charges or termination of services at Jexentra's discretion.
Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed:
- Fees are due within 30 days of invoice date
- Late payments may incur interest charges at the rate of 1.5% per month
- All prices are exclusive of applicable taxes unless otherwise stated
- Disputed invoices must be raised within 30 days of receipt
- Services may be suspended for overdue payments exceeding 30 days
Jexentra reserves the right to require payment in advance or additional security for services based on creditworthiness or payment history.
Intellectual Property
All intellectual property rights in Jexentra's methodologies, tools, software, reports, and deliverables remain the exclusive property of Jexentra, except for Client data and pre-existing Client intellectual property.
Jexentra Property
- Proprietary methodologies and analytical frameworks
- Software tools and platforms developed by Jexentra
- Templates, models, and best practice documentation
- Know-how and expertise developed through service delivery
Client Rights
- Client retains ownership of all customer data and business information provided
- Client receives a licence to use deliverables for their internal business purposes
- Client may not resell, redistribute, or commercialise Jexentra deliverables
Neither party may use the other's trademarks, logos, or brand names without prior written consent.
Confidentiality
Both parties acknowledge that they may have access to confidential information belonging to the other party. Each party agrees to:
- Maintain the confidentiality of all confidential information received
- Use confidential information solely for the purpose of providing or receiving services
- Implement appropriate security measures to protect confidential information
- Not disclose confidential information to third parties without written consent
- Return or destroy confidential information upon termination of the relationship
These obligations survive termination of any service agreement and continue for a period of five years thereafter.
Data Protection
Jexentra is committed to protecting personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). When processing personal data on behalf of Clients:
- Jexentra acts as a data processor under the instruction of the Client (data controller)
- Data processing activities will be governed by a separate Data Processing Agreement
- Appropriate technical and organisational security measures will be implemented
- Data will only be processed for the purposes specified in the service agreement
- Data subjects' rights will be respected and facilitated as required by law

Limitation of Liability
To the maximum extent permitted by law, Jexentra's liability for any claims arising from or related to these Terms or our services is limited as follows:
Exclusions
Jexentra excludes all liability for indirect, consequential, special, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or business interruption
- Costs of substitute services or procurement
- Damage to reputation or goodwill
Limitations
Our total liability for any claim shall not exceed the total fees paid by the Client to Jexentra in the twelve months preceding the event giving rise to the claim.
Exceptions
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Indemnification
Client agrees to indemnify and hold harmless Jexentra from any claims, damages, or expenses arising from:
- Client's breach of these Terms or any service agreement
- Client's violation of applicable laws or regulations
- Unauthorised use of Jexentra's services or intellectual property
- Claims related to Client data or business practices
- Third-party claims arising from Client's use of our services
This indemnification obligation survives termination of any service relationship.
Termination
Either party may terminate a service agreement in accordance with the termination provisions specified therein. In addition:
Termination for Cause
Either party may terminate immediately upon written notice if the other party:
- Materially breaches these Terms and fails to cure within 30 days of notice
- Becomes insolvent or enters bankruptcy proceedings
- Engages in fraudulent or illegal conduct
Effect of Termination
Upon termination:
- All outstanding fees become immediately due and payable
- Each party must return or destroy confidential information
- Accrued rights and obligations survive termination
- Provisions regarding confidentiality, intellectual property, and liability survive
Governing Law
These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of Luxembourg, without regard to conflict of law principles.
Any disputes, controversies, or claims arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
The parties agree to attempt to resolve any disputes through good faith negotiations before resorting to formal legal proceedings.
General Provisions
Entire Agreement
These Terms, together with any executed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
Modifications
These Terms may only be modified in writing signed by both parties, except that Jexentra may update these Terms by posting revised terms on our website with 30 days' notice.
Severability
If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect.
Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or labour disputes.
Assignment
These Terms may not be assigned by either party without the prior written consent of the other party, except that Jexentra may assign these Terms in connection with a merger, acquisition, or sale of assets.
